ACO CONFIDENTIALITY AGREEMENT
The goals of our ACO coalition are focused on gathering and sharing "real-world" best practices and strategies relative to the following overarching areas: patient experience, quality, cost, technology, and medication management. Our goal as a coalition is to identify operational lessons from a diverse group of Coalition Members relative to evolving healthcare delivery models. Clinical Care Targeted Communications, LLC, the publisher of AJMC, will provide the forum and communication platform to encourage collaboration and build innovative strategies for the future. This Agreement is intended to cover the parties' confidentiality obligations with respect to disclosures regarding or pertinent to the ACO meetings and teleconferences.
Our objective is to allow coalition members the opportunity to proactively share best practices and innovative ideas to stimulate discussion, while protecting specific information that may be confidential in nature. Therefore, the signatories of this Agreement, on behalf of their organizations, agree that any information that is clearly marked as being being from an "ACO Coalition Member" and "Confidential" will be treated as such. The Receiving Parties shall exercise the same degree of care in safeguarding the Confidential Information of the Disclosing Party that they would exercise for their own information of the same type, provided that no less than reasonable care be used.
Additionally, the Disclosing Party shall ensure that no information shared with the ACO coalition constitutes "individually identifiable health information" which may be considered "protected health information (PHI)" under The Health Insurance Portability and Accountability Act of 1996 (HIPAA).
Each person signing this Agreement represents and warrants that he or she is duly authorized and has legal capacity to execute and deliver this Agreement.
